Welcome to Proximify Inc. ("Proximify", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Proximify website located at proximify.app (the "Site"). Please read these Terms carefully before using our Site.

  3. Prohibited UsesYou may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

    In any way that violates any applicable federal, provincial, local, or international law or regulation. To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation. To impersonate or attempt to impersonate Proximify, a Proximify employee, another user, or any other person or entity. To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm Proximify or users of the Site or expose them to liability.

  4. Disclaimer of Warranties The Site is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. Neither Proximify nor any person associated with Proximify makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Site.

  5. Limitation of LiabilityIN NO EVENT WILL PROXIMIFY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

  6. Governing Law and JurisdictionThese Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario to resolve any legal matter arising from these Terms.
